These Terms of Service ("Terms") govern your access to and use of the Prefolio platform, website, and related services (collectively, the "Service") provided by Prefolio ("we", "our", or "us"). By creating an account or using the Service, you agree to these Terms.

1. Service Description

Prefolio is an AI portfolio planning platform that enables consultancies and enterprises to build evidence-backed business cases, generate portfolio plans, and deliver client-facing reports. The Service includes the web application at app.prefolio.ai, associated APIs, and all related documentation.

2. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you become aware of any unauthorised use of your account.

3. Subscription and Payment

Paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase. Fees are stated in your chosen currency and are exclusive of applicable taxes unless otherwise noted.

  • Free trial — New accounts receive a 14-day trial with full platform access. No credit card is required to start a trial.
  • Upgrades — You may upgrade your plan at any time. The new rate will be prorated for the remainder of your billing cycle.
  • Cancellation — You may cancel your subscription at any time. Access continues until the end of your current billing period. No refunds are issued for partial billing periods.
  • Non-payment — If payment fails, we will notify you and provide a reasonable grace period before suspending access.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service to store or transmit material that infringes the intellectual property rights of others
  • Attempt to gain unauthorised access to the Service, other accounts, or related systems
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service
  • Use the Service to transmit malicious code, spam, or any content that could harm other users
  • Resell or redistribute the Service without our written consent

5. Your Data

You retain all rights to the data you upload or create within the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited licence to host, store, and process Your Data solely for the purpose of providing the Service to you.

You may export or delete Your Data at any time through the platform. Upon account termination, Your Data will be permanently deleted within 90 days, unless retention is required by law.

6. Intellectual Property

The Service, including its design, features, code, documentation, and the curated evidence library, is the intellectual property of Prefolio and is protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary content beyond what is necessary to use the Service.

7. Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Support is available via email at [email protected], with response times determined by your subscription plan.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Prefolio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Prefolio, its officers, directors, and employees from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms or engage in activity that threatens the security or integrity of the Service. Upon termination, your right to use the Service ceases and we will delete Your Data in accordance with Section 5.

11. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or through the platform. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
